Thomas Melchior Fischer advises Danish and international corporates, private equity funds and other financial investors on complex M&A and private equity transactions as well as company law.

Thomas Melchior Fischer has particular experience in complex Danish and international M&A and private equity transactions, including buy-side and sell-side transactions, structured sales processes, minority investments, reinvestments, exits, joint ventures and transactions with international, fund-related or regulatory elements. Thomas advises clients throughout the transaction process, from initial structuring and due diligence to the preparation and negotiation of transaction documentation, W&I insurance, signing and closing. With a Graduate Diploma in Financial and Management Accounting, Thomas focuses on creating clarity, maintaining transaction momentum and translating complex legal and financial matters into clear commercial recommendations. Examples of Thomas’s transaction experience include advising Dagrofa, one of Denmark’s largest grocery groups, on the acquisition of the controlling interest in the ABC Lavpris supermarket chain with reinvestment from the previous group of owners; advising the listed shipping and logistics company DFDS in connection with the strategic divestment of the Oslo–Frederikshavn–Copenhagen ferry route to Gotlandsbolaget; advising a Danish family-owned group with global operations on the acquisition of an IT outsourcing business structured as a carve-out through a demerger; and assisting Axcel in connection with the planned IPO of SteelSeries which was superseded by the sale to GN Store Nord for DKK 8 billion. Thomas's particular focus areas include TMT, life sciences, defence and security and energy and infrastructure. Thomas also advises on investments and ownership structures involving private investment funds. Thomas has also written contributions to the Danish newspaper Børsen about European competitiveness, technological sovereignty and security of supply. Thomas also advises on corporate law matters relating to transactions and ownership structures, including shareholders’ agreements, mergers, demergers and complex intra-group restructurings for large international groups. Thomas teaches company law at the University of Copenhagen and is an appointed external examiner in company law and M&A.
