We advise clients on all legal aspects related to companies, whether private or public.

In addition, we have solid knowledge of the regulatory framework and what the rules mean in practice, and our utmost aim is always to align our legal advice with the specific needs and wishes of our clients, including the commercial reality in which our clients operate.

We advise on all corporate forms (be it Danish public and private limited liability companies, partnerships, limited partnerships, limited partnership companies, entrepreneurial companies, etc.) as well as all aspects of corporate law, such as:

  • choosing the right corporate form, including discussions with the client about the process from business idea to a fully established company;
  • drafting of memorandum of association and other corporate documents (articles of association, register of shareholders, rules of procedure, etc.);
  • advice on the conclusion of shareholders’ agreements/partnership contracts between company owners;
  • planning and management of general meetings, board meetings, etc.;
  • questions related to the company’s compliance with various registration obligations (including registration of significant shareholdings and beneficial owners);
  • questions related to restructuring and/or winding up of already existing companies;
  • questions related to the day-to-day operation, including corporate governance compliance etc.

In addition, we have in-depth knowledge of Danish Business Authority practice and draw on many years of experience with the handling of corporate law issues. We have gained considerable experience through, for example, assisting with the establishment of all independent public undertakings in Denmark (referred to in Danish as “SOV”).
