Mads Høgel assists clients at all stages of a transaction and has extensive experience in a wide range of transaction types, including buy-side and sell-side transactions, structured sale processes, minority and majority investments, reinvestments, exits, joint ventures and other cooperation structures as well as transactions involving cross-border elements requiring coordination due to several jurisdictions and legal systems. Mads provides advice throughout the entire transaction process and contributes with strategic and legal insight from the initial considerations to final completion, including: - Initial structuring: advice on the optimum transaction structure, including company law and commercial considerations to ensure a solid foundation for the transaction. - Due diligence: coordination and completion of a legal due diligence investigation and risk assessment that may affect the terms or feasibility of the transaction. - Transaction documentation: drafting and negotiating key transaction documents, including transfer agreements, shareholders' agreements and other contractual instruments. - W&I insurance: advice on the use and negotiation of warranty and indemnity insurance (W&I) as part of the risk allocation between parties. - Signing and closing: managing the final stages of the transaction, including fulfilling the closing conditions, coordinating between the parties and ensuring smooth completion. In addition to advice on M&A, Mads also provides advice on company law matters, including setting up companies, holding general meetings, capital increases, capital reductions, mergers, demergers and other types of restructurings as well as drafting shareholders' agreements and investment agreements.
