Sebastian Ravn Nielsen

Sebastian advises on all legal aspects of Danish and international M&A, investments, reorganisations and joint ventures. He assists with transaction planning and structuring, conducting due diligence investigations, negotiating and drafting transaction, ownership and corporate documents and the integration of ESG principles into transactions. Sebastian provides ongoing advice on corporate law and commercial law matters and contracts, including drafting warrant programmes, shareholder agreements and commercial contracts. Sebastian also has experience in large, complex energy and infrastructure projects and concessions involving transactional elements and/or long-term (+15 years) joint ownership structures. In addition, he has worked on the development of government take models (state co-ownership arrangements) involving private, public and state operators both in and outside of Denmark. Sebastian serves a diverse range of Danish and international private clients, including corporations, owner-led businesses, founders, strategic and high-net-worth investors, pension funds, private equity firms and family offices operating across various sectors and markets as well as state-owned companies and government ministries.
